Turkish Airlines held its Ordinary General Assembly Meeting for the year 2023. The meeting was held on May 24, 2024, at 3:00 PM in Istanbul Bakırköy. Decisions were made, and agenda items were determined at the meeting.
In the opening speech, a Turkish Airlines representative provided detailed information regarding the company’s performance in 2023.
The fiscal period for 2023 was set from January 1, 2023, to December 31, 2023.
Among the agenda items were significant matters such as the reading and discussion of the 2023 Annual Report, the reading of the Independent Audit Reports by the Auditor and Group Auditor, and the reading, discussion, and approval of the 2023 Financial Statements.
The discharge of the Board of Directors for their activities and accounts for the year 2023 was discussed and resolved. Additionally, a decision was made regarding the Board of Directors’ proposal for the distribution of dividends for 2023.
Other important topics addressed at the meeting included determining the remuneration of the Board of Directors members and the election of the Auditor and Group Auditor.
At the end of the meeting, shareholders were informed about Guarantees, Pledges, and Mortgages (GPM) in accordance with the Capital Markets Board’s Communiqué II-17.1 on Corporate Governance.
Information was also provided on the donations made during the year 2023 and the upper limit for donations to be made in 2024.
Shareholders were also informed about the share buybacks carried out under the Capital Markets Board’s Communiqué on Buyback Shares and the transactions specified within the framework of Corporate Governance Principles.
