Key Decisions at TAV Airports General Assembly: Dividends, Fees and Authorities Approved

Critical Voting at the General Assembly! All Decisions Passed at TAV

At TAV Airports Holding’s 2025 Ordinary General Assembly, dividend distribution, the discharge process of the board of directors and critical financial decisions were approved by majority vote.

General Assembly Held in Istanbul

The Ordinary General Assembly Meeting of TAV Airports Holding Inc. for the year 2025 was held on 27 March 2026 in Sarıyer, Istanbul. The meeting was conducted under the supervision of the Ministry representative appointed by the Provincial Directorate of Trade of the Governorship of Istanbul.

It was reported that shareholders representing approximately 78% of the company’s capital attended the meeting and the required quorum was met.

Activity Report and Financials Approved

At the general assembly, the Board of Directors’ Activity Report for 2025, the Independent Audit Report and the financial statements were voted on separately and approved by majority vote. The members of the Board of Directors were discharged for their transactions and decisions related to the relevant activity period.

Decision to Distribute TRY 1.31 Billion in Dividends

One of the prominent agenda items of the meeting was profit distribution. Accordingly, the company will:

  • Distribute a total gross cash dividend of TRY 1,311,437,953
  • Payments will be made in two equal instalments
  • First payment: 21 July 2026
  • Second payment: 22 September 2026
  • The decision was unanimously approved at the general assembly.

Board of Directors and Remuneration Policy Finalised

Important decisions regarding the board of directors were also taken at the general assembly:

  • The remuneration policy of the Board of Directors was approved by majority vote
  • An annual fee of USD 60,000 for foreign members, and an annual attendance fee of TRY 2,800,000 for independent members who are citizens of the Republic of Türkiye was determined, to be paid monthly

Appointments to the Board of Directors were approved by the general assembly.

Independent Auditor and Capital Authority Approval

The selection of the independent audit firm for the company’s 2026 audit activities was also discussed. Accordingly, the relevant audit firm was approved by majority vote to serve for a period of one year.

In addition:

  • The authority granted to the board of directors to increase capital was extended for 5 years
  • Amendments to the articles of association in this regard were approved

Donation Limit and Corporate Governance Disclosures

It was announced that approximately TRY 3.5 million in donations were made in 2025, while the upper limit for donations for 2026 was set at TRY 5 million.

Additionally, during the meeting:

  • Shareholders were informed about related party transactions
  • Pledges, guarantees and mortgages
  • Transactions within the scope of corporate governance

Management Answered Questions at the General Assembly

During the wishes and opinions section, a shareholder asked questions regarding changes in senior management and an alleged compensation payment made to the former CFO. The company’s CEO provided information on the matter at the general assembly.
