Turkish Airlines has provided an important update regarding its investment process in Air Europa. The company announced that progress has been made in the minority stake acquisition process with Air Europa, as previously disclosed in the material event statement dated 19 August 2025.
Under the agreement signed with Air Europa Holding S.L.U. (Air Europa), Turkish Airlines aims to strengthen its strategic position in the global aviation sector and create new opportunities in the Latin American markets. Additionally, it seeks to enhance the passenger and cargo flight network between Spain and Türkiye, thereby contributing further to the tourism sector’s economic growth.
Transaction Documentation Process Completed
As the process has progressed, the transaction documentation between the parties has been completed, and the partnership agreement, along with other transaction contracts, has been signed. The next step involves obtaining the necessary approvals from the relevant regulatory authorities. This process is expected to be finalised within 6 to 12 months.
Investment and Share Ratio Expectation
As previously stated, the transaction involves an investment of €300 million, the majority of which will be executed in the form of a capital increase. Depending on technical and financial adjustments at the closing stage, the minority shareholding ratio to be acquired is expected to range between 25% and 27%.

Turkish Airlines announced that it will publicly disclose any new developments that may affect investors’ investment decisions regarding the matter.
