THY 2025 General Assembly Completed: 118.2 Billion TL Net Profit, No Dividend Distributed

The Ordinary General Assembly of Turkish Airlines for the year 2025 has been completed. While a net profit of 118.2 billion TL was announced, it was decided not to distribute the profit and to transfer it to previous years. The board of directors was discharged.

THY 2025 Ordinary General Assembly Meeting Completed

The Ordinary General Assembly Meeting of Turkish Airlines Inc. regarding the accounts and activities of 2025 was held in Istanbul on April 9, 2026. Financial results, profit distribution, the discharge process of the board of directors, and various corporate decisions were discussed at the meeting.

The Meeting Was Held in Compliance with Procedures

The general assembly was conducted in accordance with the Turkish Commercial Code (TCC) and the Capital Markets Board (CMB) regulations. The meeting was held at the THY general management building in Bakırköy, Istanbul, under the supervision of a Ministry representative.

Members of the board of directors and representatives of the independent audit firm attended the meeting. It was stated that the required quorum was met, and the meeting was opened simultaneously in both physical and electronic environments.

2025 Activities Were Evaluated

At the general assembly, the 2025 annual report and independent audit reports were discussed. As a result of the voting, it was decided that the annual report would be deemed as read.

While only the opinion section of the independent audit report was read, the remaining sections were deemed as read and the report was presented to the general assembly for informational purposes.

118.2 Billion TL Net Profit Announced

At the meeting, THY’s financial results for 2025 were also shared. According to the statement, the company’s net profit for the period between 01.01.2025 and 31.12.2025 amounted to 118.2 billion TL.

The financial statements were prepared within the framework of Turkish Accounting Standards (TAS/TFRS), audited independently, and presented to the shareholders.

Decision to Carry Forward Profit Instead of Distributing Dividends

The issue of profit distribution was also discussed at the general assembly. Instead of the distribution plan proposed by the board of directors, it was decided not to distribute the profit due to current economic conditions and uncertainties.

With this decision, it was accepted by majority vote that the net profit of 118.2 billion TL would be transferred to retained earnings.

Board of Directors Discharged

At the meeting, the members of the board of directors were individually discharged for their activities, transactions, and accounts for the year 2025. The discharge decision was accepted by majority vote.

Auditor Selection and Fee Decisions

At the general assembly, PwC Independent Auditing and Certified Public Accountant Inc. was reappointed as the independent audit firm for 2026.

Additionally, the monthly remuneration of the board members was set at 115,000 TL, and it was decided that 4 bonuses would be paid annually.

Donations, Share Buybacks, and Corporate Matters

At the meeting, it was announced that a total of 154 million TL in donations was made during 2025.

The upper limit for donations in 2026 was set at 0.5% of the company’s equity.

Transactions carried out under the share buyback program were also presented to the general assembly.

General Assembly Concluded with Questions

At the end of the meeting, shareholders asked questions regarding fuel costs, foreign exchange impacts, ticket prices, developments in the Middle East, and profitability expectations. These questions were answered by the relevant executives.

The general assembly concluded after all agenda items were completed.
